OPERATIONS & INVENTORY GUIDE · CONSIGNMENT STOCK MANAGEMENT

Separating MSME Consignment Stock:
Bailee Ownership, Ledgers & Stocktake.

Many retail shops, boutique merchants, and distributors operate on consignment (titip jual). Common administrative pitfalls include co-mingling consigned items with outright merchandise, distorting balance sheet inventory valuations, and experiencing discrepancies during physical stocktakes. This guide explains statutory bailee ownership principles, segregated auxiliary stock ledgers, scheduled physical stock opname procedures, and accounting treatments compliant with SAK EMKM and Indonesian official statutory partnership rules.

SECTION 01 · LEGAL & ACCOUNTING PRINCIPLES

Whose goods are on consignment?
Understanding the legal boundaries of custody.

Under Indonesian civil law, consignment transactions stem from custody of goods (Civil Code Art. 1694) coupled with agency powers to sell (Civil Code Art. 1792). Grasping these rules prevents ownership disputes:

01

Legal Title: Goods Are Not Store Assets

Although merchandise physically resides in the store’s display or warehouse, legal ownership remains 100% with the consignor until sold. The retailer acts strictly as a temporary bailee with fiduciary custody, lacking any authority to pledge or discount merchandise outside agreement terms.

02

Accounting Standard SAK EMKM Chapter 7

Under SAK EMKM Chapter 7, inventory assets are restricted exclusively to goods owned and controlled by the business entity. Consigned goods must never be capitalized as store inventory assets on the balance sheet, but tracked in off-balance sheet auxiliary registers.

03

Revenue: Agency Commission vs Gross Sales

Retailers selling consigned items must recognize solely the earned sales commission as operating turnover (e.g. a 15% agency margin). Never record the gross customer proceeds as store turnover, as the remaining 85% represents fiduciary payables owed to the consignor.

04

Protection from Creditor Asset Seizure

Under Article 1704 of the Civil Code, bailed consignment inventory cannot be attached or seized by store creditors to satisfy store debts. Rigorous consignment delivery receipts and auxiliary ledgers provide conclusive civil proof of third-party ownership.

SECTION 02 · WAREHOUSE OPERATING PROCEDURES

5-step SOP for separating consignment stock
from goods receipt to commission settlement.

To prevent physical inventory discrepancies and commission miscalculations, enforce five disciplined custody steps:

01

Comprehensive Written Consignment Agreement

Document terms in writing: commission percentages, maximum display shelf duration (e.g. 60 days), unsold return protocols, sales-out reporting cycles, settlement transfer schedules, and explicit liability terms for damaged, expired, or stolen items.

02

Distinct SKU Labeling & Physical Shelf Separation

Every consignment item received must receive a distinct SKU label indicating consignor identity (e.g. KONS-[CONSIGNOR]-[CODE]). Inside warehouses and displays, isolate merchandise in designated bins so warehouse staff never confuse consigned items with wholesale inventory.

03

Auxiliary Consignment Memorial Stock Ledger

Record every consigned entry and exit in an auxiliary stock ledger completely separated from main merchandise ledgers. Document: receipt date, delivery note number, quantity received, units sold, returned items, and physical balance remaining on premises.

04

Scheduled Sales-Out Reports & Settlement Statements

At each period close (e.g. month-end), the store generates a formal Sales-Out Statement detailing items sold, gross proceeds, deducted commissions, and net funds remitted to the consignor’s bank account alongside timely payment.

05

Joint Physical Stock Opname & Discrepancy Protocol

Conduct regular joint physical stock opnames. Reconcile on-shelf physical units against auxiliary ledger balances. If discrepancies emerge (loss or shelf damage), record findings in a formal Reconciliation Memo and execute indemnifications per agreement terms.

SECTION 03 · INVENTORY COMPARISON

Outright wholesale purchase vs consignment:
comparing legal, accounting, and operational risks.

Selecting the proper procurement model determines working capital velocity and statutory compliance:

Comparison of Procurement Frameworks: Wholesale Outright vs Store Consignee vs Consignor (SAK EMKM, Civil Code, PMK 197/2013)
Governance Dimension Outright Purchase (Wholesale) Consignment: Store (Consignee) Consignment: Owner (Consignor)
Legal Title of Goods Transfers 100% to the buyer (store) upon delivery acceptance Remains property of the consignor until sold to end customers Remains consignor property; store acts strictly as bailee/custodian
Balance Sheet Recognition Recognized as store Current Asset Inventory on the balance sheet Prohibited from store inventory assets (Off-Balance Sheet / Memorial) Recorded as consignor inventory held externally at partner locations
Unsold or Damaged Goods Risk Loss risk borne entirely by the buyer/store retailer Unsold merchandise returnable to consignor per written agreement clauses Consignor bears obsolescence risk unless damage arises from store negligence
Revenue & Turnover Recognition Total gross sale amount recognized as store gross trading revenue Only commission fee / selling margin recognized as store service revenue Gross sales proceeds minus deducted commissions recognized by consignor
Working Capital Requirement High; upfront cash capital locked into outright wholesale purchasing Low; store deploys zero upfront capital for merchandise procurement Medium–High; consignor funds production costs and consignment receivables
Tax & PKP Threshold Treatment Full selling price counted toward the IDR 4.8B PKP registration ceiling For Non-PKP stores, only commission margin counted toward gross revenue cap For consignors, total gross goods sales value constitutes taxable business revenue
